1. Introduction

These Terms & Conditions (“Terms”) govern your access to and use of the Website and any services provided by NeoScala (“NeoScala”, “we”, “us”, or “our”).

By accessing our Website, requesting a free audit, purchasing a service, approving campaign activity, providing LinkedIn account access, or otherwise using our services, you agree to be bound by these Terms.

If you do not agree with these Terms, you must not use our Website or services.

3. Our Services

NeoScala provides LinkedIn lead generation and related sales support services for small B2B companies.

Our services may include:

  • Free LinkedIn lead generation audit

  • Review of your offer, target market, and LinkedIn profile

  • Ideal Client Profile (ICP) recommendation

  • Sample LinkedIn prospect research

  • Sample outreach message

  • Paid LinkedIn lead generation campaign

  • LinkedIn Sales Navigator prospect research

  • Qualified prospect list building

  • Outreach message sequence creation

  • Outreach execution from your approved LinkedIn profile

  • Warm reply and lead handover

  • Weekly campaign reporting

  • Campaign optimisation

  • Optional LinkedIn authority content

  • Optional short article drafts or supporting content

The exact services included in your plan will be shown on our Website, payment page, proposal, invoice, email confirmation, or written agreement with you.

4. Free LinkedIn Lead Generation Audit

The free LinkedIn lead generation audit is a sample campaign preview only.

It may include:

  • A review of your offer and LinkedIn profile

  • A recommended ICP or buyer segment to test first

  • 5 to 10 sample LinkedIn prospects

  • A sample first outreach message

  • An outreach readiness score

  • A recommended next step

The free audit is not a complete campaign strategy, full prospect list, complete outreach sequence, sales consultancy engagement, or guarantee that a paid campaign will generate leads, meetings, revenue, or clients.

We may decline to provide a free audit where we believe your business, offer, market, profile, or request is not suitable for our service.

5. Paid LinkedIn Lead Generation Campaigns

Paid campaigns are designed to help you test one agreed Ideal Client Profile, reach relevant prospects, generate warm conversations, and create opportunities for qualified sales calls.

Unless otherwise agreed in writing, each paid campaign focuses on one agreed ICP, buyer persona, offer, and market.

A major change to your ICP, offer, geography, target audience, positioning, or campaign direction may require additional setup, additional fees, or a new campaign.

Our paid campaign plans may include a target number of outreach attempts per month. This is an activity target, not a guarantee of responses, leads, calls, clients, or revenue.

6. No Guarantee of Results

You acknowledge that lead generation results depend on several factors outside our control, including:

  • Your offer

  • Your pricing

  • Your market

  • Your LinkedIn profile

  • Your credibility and authority

  • Your target audience

  • Prospect timing and demand

  • Message-market fit

  • Your speed and quality of follow-up

  • LinkedIn account limits, restrictions, technical issues, or policy changes

  • General market conditions

We do not guarantee any specific number of leads, replies, booked calls, sales opportunities, customers, revenue, or return on investment.

Any references to outreach volume, replies, leads, sales calls, or campaign outcomes are estimates, examples, objectives, or activity targets only.

You agree that fees are payable for the work, time, research, campaign setup, execution, reporting, and support provided, not for guaranteed commercial results.

7. Client LinkedIn Account Access and Consent

Some NeoScala services require outreach to be sent from your approved LinkedIn profile.

By purchasing or approving a paid campaign that involves outreach from your LinkedIn profile, you expressly authorise NeoScala and its approved delivery personnel to access and use your LinkedIn account on your behalf for the purpose of delivering the agreed services.

This may include:

  • Logging into your LinkedIn account

  • Logging into your LinkedIn Sales Navigator account, where applicable

  • Viewing LinkedIn profiles and search results

  • Building prospect lists

  • Sending connection requests

  • Sending follow-up messages

  • Monitoring replies

  • Recording campaign activity

  • Handing over interested replies to you

  • Taking reasonable campaign actions agreed with you

You confirm that:

  • You are the owner or authorised user of the LinkedIn account provided

  • You have authority to grant NeoScala access to the account

  • You consent to NeoScala accessing and using the account for the agreed campaign

  • You will provide accurate login, verification, and access information when required

  • You will not claim that NeoScala accessed your account without permission where such access was provided or approved by you

You may withdraw access at any time by changing your password, revoking access, or notifying us in writing. If you withdraw access, we may be unable to continue delivering the service, and this will not automatically entitle you to a refund for work already completed or time already allocated.

8. LinkedIn Platform Risk

You acknowledge that LinkedIn is a third-party platform owned and operated independently of NeoScala.

LinkedIn may impose limits, restrictions, warnings, verification checks, suspensions, account reviews, feature restrictions, or other actions at its sole discretion.

By using our services, you acknowledge and accept that LinkedIn activity may carry risks, including:

  • Temporary account restrictions

  • Messaging or connection limits

  • Login verification requests

  • Reduced account functionality

  • Account warnings

  • Suspension or termination of your LinkedIn account

  • Loss of access to LinkedIn or Sales Navigator features

  • Changes to LinkedIn rules, policies, pricing, or technical behaviour

NeoScala is not responsible for LinkedIn’s decisions, restrictions, enforcement actions, platform changes, account reviews, technical issues, or policy updates.

You are responsible for reviewing and complying with LinkedIn’s own terms, policies, and acceptable use rules. Your consent for NeoScala to access your account does not guarantee that LinkedIn permits such access or activity under its own terms.

9. LinkedIn Credentials and Security

Where you provide LinkedIn login credentials or access information to NeoScala, you agree to provide them voluntarily for the purpose of delivering the agreed services.

We will take reasonable steps to handle account access information carefully and restrict access to people involved in delivering your campaign.

However, you acknowledge that sharing login credentials carries inherent risk.

You are responsible for:

  • Ensuring you are comfortable providing account access

  • Using appropriate security settings

  • Notifying us promptly of suspicious activity

  • Updating your password after the campaign ends, if you wish

  • Managing two-factor authentication or login verification requests

  • Ensuring your LinkedIn account and Sales Navigator subscription remain active and usable

NeoScala will not be responsible for loss or damage caused by incorrect credentials, delayed verification, account lockouts, password changes, two-factor authentication issues, third-party compromise, LinkedIn restrictions, or your own failure to manage account security.

10. Client Responsibilities

To allow us to deliver the services effectively, you agree to:

  • Provide accurate information about your business, offer, target audience, and value proposition

  • Approve or provide feedback on ICP, messaging, and campaign direction when requested

  • Provide timely access to LinkedIn and Sales Navigator where required

  • Respond promptly to verification requests, approvals, questions, and campaign handover items

  • Follow up with warm replies or interested prospects in a timely and professional manner

  • Notify us of any account restrictions, warnings, or issues

  • Avoid making conflicting changes to the campaign while we are delivering it

  • Avoid contacting the same prospects outside the agreed workflow in a way that may confuse prospects or affect campaign tracking

  • Ensure that any information, claims, testimonials, or content you provide to us are accurate and lawful

NeoScala is not responsible for reduced performance, missed opportunities, campaign delays, or account issues caused by your delay, inaction, inaccurate information, late approval, poor follow-up, account access issues, or changes to your offer or target market.

11. Outreach Approval

Before a campaign begins, we may ask you to approve the ICP, message direction, first message, or campaign approach.

Once you approve campaign materials, you authorise us to proceed with campaign execution based on that approval.

You are responsible for checking that any approved message, claim, offer, case study, price, guarantee, or statement is accurate, lawful, and suitable for your business.

12. Authority Content

Where your plan includes authority content, NeoScala may create LinkedIn posts, article drafts, topic ideas, or supporting content designed to improve profile credibility during outreach.

Authority content is intended to support your LinkedIn presence. It is not a full content marketing service, SEO service, public relations service, social media management service, or guarantee of engagement, reach, followers, leads, or sales.

Unless otherwise agreed, content is provided as draft material for your review, approval, editing, and publication.

You are responsible for checking that any content is accurate, appropriate, compliant, and aligned with your views before publishing.

13. Payments

All fees are payable in advance unless otherwise agreed in writing.

Payment may be made by Stripe, bank transfer, or another agreed payment method.

You agree to pay all fees shown at checkout, on the Website, in an invoice, or in a written agreement.

All prices exclude VAT unless stated otherwise.

If payment is late, declined, disputed, reversed, or not received, we may suspend or stop the service until payment is resolved.

14. Monthly Plans, Renewal and Cancellation

Unless otherwise stated, paid plans are monthly services.

Monthly plans renew automatically or continue on a rolling monthly basis unless cancelled in accordance with these Terms or the payment terms agreed with you.

You may cancel a monthly plan by giving written notice before the next billing period.

Cancellation stops future billing but does not automatically create a refund for the current month, work already completed, campaign setup, research, messaging, reporting, or time already allocated.

15. Refunds

Refunds are governed by our Refund Policy.

In summary:

  • The free audit is free and does not create entitlement to paid work

  • Paid fees are generally non-refundable once work has started

  • Campaign setup, research, strategy, message writing, prospect list building, outreach execution, reporting, and content creation all count as work started

  • Lack of replies, leads, calls, clients, or revenue does not entitle you to a refund

  • LinkedIn restrictions, account limits, login issues, or platform changes do not automatically entitle you to a refund

  • If NeoScala fails to start the agreed paid service at all, we may offer a refund at our discretion or as required by law

16. Acceptable Use

You must not use our Website or services for:

  • Illegal, fraudulent, misleading, or deceptive activity

  • Harassment, abuse, discrimination, hate, or spam

  • Promotion of unlawful products or services

  • False claims or impersonation

  • Misleading business offers

  • Content or outreach that infringes third-party rights

  • Any activity that could damage NeoScala’s reputation, systems, deliverability, or service integrity

We may refuse, suspend, or terminate services where we believe your business, offer, conduct, campaign, or requested activity is unsuitable, unlawful, misleading, unethical, or high risk.

17. Third-Party Platforms and Tools

Our services may rely on third-party platforms or tools, including LinkedIn, LinkedIn Sales Navigator, email, CRM tools, spreadsheets, analytics tools, payment processors, and communication platforms.

We do not control third-party platforms and are not responsible for:

  • Their availability

  • Their pricing

  • Their terms and policies

  • Their technical issues

  • Their restrictions or enforcement actions

  • Their data loss or service interruptions

  • Their changes to functionality or access

You are responsible for maintaining any third-party subscriptions, accounts, permissions, and licences required for your campaign.

18. Data Protection and Privacy

We will handle personal data in accordance with our Privacy Policy.

In delivering the services, we may process business contact information, prospect details, LinkedIn profile information, campaign notes, reply information, and account access information where required.

You confirm that any personal data you provide to us has been collected and shared lawfully.

Where applicable, both parties agree to comply with applicable data protection laws, including the UK GDPR and Data Protection Act 2018.

You acknowledge that LinkedIn prospecting and outreach may involve processing personal data relating to business contacts. You are responsible for ensuring that your use of the campaign outputs is lawful and appropriate for your business.

19. Confidentiality

Each party agrees to keep confidential any non-public business, technical, commercial, financial, campaign, login, prospect, or customer information received from the other party.

Confidential information must not be disclosed to third parties except where:

  • Required to deliver the services

  • Required by law

  • Already publicly available

  • Approved in writing by the disclosing party

This clause continues after the end of the services.

20. Intellectual Property

All intellectual property on the Website, including text, branding, design, graphics, service methodology, templates, processes, and materials, belongs to NeoScala or its licensors.

You must not copy, reproduce, resell, distribute, or create derivative works from our materials without written permission.

You retain ownership of materials you provide to us.

You grant NeoScala a non-exclusive, royalty-free licence to use your business information, brand materials, profile information, offer details, and approved content solely for the purpose of delivering the agreed services.

Unless otherwise agreed in writing, campaign templates, methods, internal workflows, research methods, and know-how remain the property of NeoScala.

21. Use of Campaign Materials

Subject to payment of all fees due, you may use final campaign materials created specifically for you for your own internal sales and marketing purposes.

You may not resell, sublicense, publish, distribute, or provide our campaign materials, templates, prompts, workflows, or methods to another agency, consultant, competitor, or third party without our written consent.

22. Testimonials and Case Studies

We will not publish your confidential campaign results, company name, testimonial, or case study without your permission.

Where you provide a testimonial, review, or feedback, you grant us permission to use it for marketing purposes unless you tell us otherwise in writing.

23. Service Suspension or Termination

We may suspend or terminate services immediately if:

  • You fail to pay fees when due

  • You breach these Terms

  • You provide false, misleading, or unlawful information

  • You request activity we consider unlawful, unethical, misleading, or high risk

  • Your LinkedIn account becomes restricted, unavailable, or unusable

  • You withdraw required account access

  • You act in a way that may damage NeoScala, our team, our systems, or our reputation

  • Continuing the service would create unacceptable legal, commercial, platform, or operational risk

Upon termination, all unpaid fees remain due, and we are not required to continue campaign activity.

24. Limitation of Liability

To the fullest extent permitted by law, NeoScala will not be liable for:

  • Loss of profits

  • Loss of revenue

  • Loss of business

  • Loss of goodwill

  • Loss of opportunity

  • Loss of data

  • Loss of access to LinkedIn or Sales Navigator

  • LinkedIn account restrictions, suspensions, warnings, or limitations

  • Platform changes or third-party service issues

  • Indirect, incidental, special, or consequential loss

Our total liability for any claim relating to the Website or services will not exceed the total fees paid by you to NeoScala in the three months before the event giving rise to the claim.

Nothing in these Terms limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

25. Indemnity

You agree to indemnify and hold harmless NeoScala, STI Tech Limited, its directors, contractors, employees, and delivery partners from any claims, losses, damages, costs, liabilities, or expenses arising from:

  • Your breach of these Terms

  • Your business, offer, products, or services

  • Inaccurate or misleading information provided by you

  • Claims made in approved outreach or content

  • Your use of LinkedIn or Sales Navigator

  • Your decision to provide LinkedIn account access

  • Your follow-up with prospects

  • Your use of campaign outputs

  • Any allegation that your campaign, offer, content, or data infringes third-party rights or breaches applicable law

26. No Employment, Partnership or Agency

Nothing in these Terms creates an employment relationship, partnership, joint venture, franchise, or formal agency relationship between you and NeoScala.

NeoScala provides services as an independent contractor.

Although you may authorise us to access and use your LinkedIn account for agreed campaign activity, this does not make NeoScala your employee, legal representative, or general agent.

27. Changes to Services or Terms

We may update our Website, services, pricing, plans, and these Terms from time to time.

The latest version of these Terms will be published on this page with the updated date.

For active paid clients, material changes that significantly affect an ongoing service will apply from the next renewal period unless required sooner by law, platform change, or operational necessity.

Your continued use of the Website or services after changes are published means you accept the updated Terms.

28. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales.

The courts of England and Wales will have exclusive jurisdiction over any dispute arising from or relating to these Terms, the Website, or the services.
