Terms & Conditions
Last updated: 01/10/2025

1. Introduction
Welcome to www.neoscala.com (the “Website”).
These Terms & Conditions (“Terms”) govern your access to and use of the Website and any services provided by NeoScala (“we”, “us”, “our”).
By accessing or using our Website and services, you agree to comply with and be bound by these Terms. If you do not agree, you must not use our Website or services.

2. Who We Are
NeoScala is operated by STI Tech Limited, a company registered in England & Wales (Company No. 09155705), with its registered office at 169 Bellingham Road, London SE6 1EQ.

3. Eligibility
You must be at least 18 years old and have full legal capacity to enter into a binding agreement with us.
You agree to use our Website and services only for lawful purposes and in accordance with these Terms.

4. Services
NeoScala provides B2B sales and marketing services, including but not limited to:
Prospect research and outreach campaigns
Appointment booking and lead generation
Content and messaging strategy
Sales enablement and campaign reporting
Each service or package is detailed on our Website or in a written agreement with you. We may amend, suspend or discontinue any service at our discretion, and will notify you of any significant changes affecting ongoing engagements.

5. Performance Disclaimer
While we aim to help clients achieve predictable growth through consistent outreach and qualified appointments, outcomes depend on multiple external factors.
We may reference examples such as “10–15 qualified calls per month” to illustrate typical potential results, but this figure is an indicative target, not a guarantee.
Performance will depend on:
The quality and competitiveness of your offer
Definition and accuracy of your Ideal Customer Profile (ICP)
Responsiveness to campaign feedback and data
Your internal sales follow-up and conversion process
You acknowledge that no specific volume of leads, meetings, or revenue outcomes is guaranteed, and that success requires joint effort between both parties.

6. Minimum Engagement Period
All service plans are subject to a minimum initial engagement of three (3) months, unless otherwise agreed in writing.
This allows sufficient time for campaign setup, testing, and optimisation.
Cancellations before completion of this period will not entitle you to a refund, except in cases where NeoScala fails to commence the contracted service.

7. Payment Terms
All fees are payable in advance unless otherwise stated in writing.
Invoices are due immediately upon receipt and must be paid via the agreed payment method (e.g. Stripe, bank transfer).
Late payments may result in service suspension or termination.
All prices exclude VAT unless explicitly stated.

8. Refund Policy
Refunds are governed by our Refund Policy.
In summary:
Payments are generally non-refundable once work has commenced.
Results are not guaranteed; payments reflect time and resources invested, not outcomes.
A three-month minimum engagement applies to all ongoing plans.
Please review the full Refund Policy for details.

9. Client Responsibilities
To enable us to perform effectively, you agree to:
Provide accurate and timely information about your company, target audience and value proposition.
Respond promptly to messages, approvals and data requests.
Not contact prospects outside agreed workflows in a way that could harm deliverability or campaign integrity.
Obtain all necessary rights and permissions for content or data you supply.
NeoScala is not responsible for performance delays or reduced results caused by your inaction, lack of feedback, or inaccurate information.

10. Acceptable Use of the Website
You agree not to:
Use the Website or Services for any illegal or fraudulent purpose.
Interfere with, damage or disrupt the Website or its security systems.
Copy, scrape, or reproduce content from the Website without our written consent.
Upload malicious code, spam, or abusive content.
We reserve the right to suspend or terminate your access if you breach these terms.

11. Intellectual Property Rights
All intellectual property on the Website (including text, design, graphics, logos, software, and methodology) belongs to NeoScala or its licensors.
You may not copy, distribute, modify, or create derivative works without our written consent.
You retain ownership of materials you provide to us for campaign purposes. You grant NeoScala a non-exclusive, worldwide, royalty-free licence to use those materials for fulfilling our contractual obligations.

12. Confidentiality
Both parties agree to treat as confidential all information obtained in connection with the Services and not to disclose such information to third parties without prior written consent, unless required by law.

13. Limitation of Liability
To the fullest extent permitted by law:
Our total liability for any claim relating to our Services will not exceed the total fees paid by you in the 12 months preceding the event giving rise to the claim.
We shall not be liable for any indirect, incidental, or consequential losses, including loss of profit, data, business, or goodwill.
The Services are provided “as is” and “as available.” We make no guarantees of uninterrupted access or specific performance results.

14. Termination
Either party may terminate the agreement after the minimum engagement period by providing written notice (usually 30 days).
NeoScala may terminate immediately if you breach these Terms, fail to pay fees when due, or act in a way that damages our reputation or service integrity.
Upon termination:
All fees due remain payable.
All materials provided by NeoScala remain our property unless otherwise agreed.

15. Data Protection & Privacy
Your data will be handled in accordance with our Privacy Policy.
You acknowledge that NeoScala may process limited personal and business data for the purpose of delivering our Services.

16. Changes to These Terms
We may update these Terms periodically. The “Last updated” date at the top will indicate the most recent version.
Any updates take effect upon publication on our Website. Continued use of our Services constitutes acceptance of the updated Terms.
